欢迎使用开放云网站（以下简称“开放云”或“我们”）为您提供的产品及服务（以下简称“服务”）。为了保障您的权益，请在完成注册程序或以任何方式使用开放云服务之前，详细阅读并透彻理解本用户协议（以下简称“本协议”）所有内容。一旦您完成“同意条款并注册”或开始以其他方式使用开放云服务时，即表示您已约定并同意受本协议的约束，构成了您与开放云的协议。除另有明确声明外，您使用平台及服务均受本协议约束。如您不同意本协议或其中任何条款约定，您应不再进行下一步或停止注册程序。

Welcome to use the products and services provided to you by the uMetaOpen website (hereinafter referred to as "uMetaOpen" or "we") (hereinafter referred to as "Services"). In order to safeguard your rights and interests, Please read and thoroughly understand this User Agreement (hereinafter referred to as "this Agreement") in detail before completing the registration process or using uMetaOpen as a Service in any way . Once you complete "Agree to Terms and Register" or otherwise begin to use uMetaOpen as a Service, you have agreed and agreed to be bound by this Agreement, which constitutes your agreement with uMetaOpen . Unless otherwise expressly stated, your use of the Platform and Services is governed by this Agreement. If you do not agree to this Agreement or any of its terms, you should not proceed to the next step or stop the registration process.

一、定义/Definitions

1、  “开放云”指由上海联影智元医疗科技有限公司运营的、为您提供各项产品或服务的网站,包含域名为www.uicloud.com的网站、开放云客户端、开放云移动应用程序、开放云微信公众号、微信小程序等。

1. "uMetaOpen" refers to the website operated by United Imaging Meta Healthcare Co., Ltd. to provide you with various products or services, including the website with the www.uicloud.com domain name, uMetaOpen Client, uMetaOpen mobile application, uMetaOpen WeChat official account, WeChat Mini Program, etc.

2、  “用户”（本协议简称“您”）指成功注册“开放云”账号或以其他开放云允许的方式实际使用开放云及其服务的自然人、法人或者其他组织。

2. "User" (referred to as "you" in this agreement ) refers to a natural person, legal person or other organization that successfully registers a "uMetaOpen" account or actually uses uMetaOpen and its services in other ways permitted by uMetaOpen.

3、  “服务”指开放云为您提供的各项产品及服务。如您使用或购买开放云网站上某一具体服务，您可能仍需确认具体服务对应的服务条款，请您审慎阅读、充分理解各条款内容，选择接受或不接受该服务条款。

3. "Services" refer to the products and services provided by uMetaOpen to you. If you use or purchase a specific service on the uMetaOpen website, you may still need to confirm the terms of service corresponding to the specific service. Please read and fully understand the content of each term carefully, and choose to accept or not accept the terms of service.

4、  “本协议”指本协议正文及将来可能作的修改文本、本协议援引的其他协议，以及在开放云已经发布的及未来根据需要不定期更新或新发布的所有服务规则、公告及各项产品及服务的流程说明、介绍、使用方法、管理规范等。

4. "This Agreement " refers to the text of this Agreement and the text of amendments that may be made in the future, other agreements cited in this Agreement, and all service rules, announcements that have been published in uMetaOpen and will be updated or newly released from time to time in the future as needed. Process descriptions, introductions, usage methods, management specifications, etc. of products and services.

二、协议的修订/Amendments to the Agreement

开放云有权在必要时通过发出公告等方式修改本协议，公告的方式包括但不限于网页公告、电子邮件、站内信、短信等方式。您在使用开放云及其服务时应及时查阅了解新修改的内容。如您在本协议修改后继续使用开放云及其提供的服务时，则视为您已充分阅读、理解并接受修改后的内容，也将遵循修改后的内容，当发生争议时，以变更后的协议为准。

uMetaOpen has the right to modify this Agreement when necessary by issuing announcements , including but not limited to web page announcements, e- mails, inbox notifications, text messages, etc. You should check and understand the newly modified content in time when using uMetaOpen and its services. If you continue to use uMetaOpen and the services it provides after the modification of this Agreement, it is deemed that you have fully read, understood and accepted the revised content, and will follow the revised content. In the event of a dispute, the changed agreement shall prevail .

三、账户的注册、使用与安全/Account registration, use and security

1、注册的资格/Qualification for registration

您确认您完成注册程序或以其他开放云允许的方式实际使用开放云及其服务时，您应当是具备完全民事权利能力和完全民事行为能力的自然人、法人或其他组织；如您是未成年人或限制民事行为能力人，则您不具备使用开放云的主体资格，并应停止注册或使用开放云及其服务，否则您及您的监护人应承担因您的不当注册或使用行为而导致的一切后果。如造成开放云损失的，开放云有权向您或您的监护人追偿。

You confirm that when you complete the registration process or actually use uMetaOpen and its services in other ways permitted by uMetaOpen, you should be a natural person, legal person or other organization with full capacity for civil rights and full capacity for civil conduct; If you are Juvenile or a person with limited capacity for civil conduct, you do not have the subject qualification to use uMetaOpen, and you should stop registering or using uMetaOpen and its services, otherwise you and your guardian shall bear all the consequences caused by your improper registration or use . In case of any loss caused by uMetaOpen, uMetaOpen has the right to recover from you or your guardian.

2、账户注册/Account registration

（1）当您按照注册页面提示填写信息、阅读并同意本协议条款且完成全部注册程序后，您可获得开放云账户并成为开放云的注册用户。

(1) After you fill in the information according to the instructions on the registration page, read and agree to the terms of this agreement , and complete all the registration procedures, you can obtain a uMetaOpen account and become a registered user of uMetaOpen.

（2）您在注册时候设置或确认的账户名（“账户名称”）及您设置的密码，将在注册成功后成为您的账户（账户名称及密码合称“账户”）。

(2) The account name ("Account Name") you set or confirm at the time of registration and the password you set will become your account after successful registration (the account name and password are collectively referred to as "Account").

（3）您设置的账户名称不得违反国家法律法规、开放云的使用规范或容易引起您与开放云身份的混淆，否则您的账户可能不能注册成功或开放云有权经通知您后予以注销。

(3) The account name you set must not violate national laws and regulations, the usage specifications of uMetaOpen, or easily cause confusion between you and uMetaOpen, otherwise your account may not be successfully registered or uMetaOpen has the right to cancel after notifying you.

（4）您应当按照法律法规要求或按相应页面的提示，准确提供并及时更新您的账户信息，以使之真实、及时、完整和准确。如您提供的资料错误、不实、过时或不完整的，开放云可以向您发出询问及/或要求改正的通知，您应按照开放云的要求配合提供或者更新相关资料。因您填写的信息、资料不真实、不及时、不完整或不准确的，您应承担您不能使用开放云账户（不能注册成功、或账户被冻结、注销）或您在使用过程中的后果和损失。如果您提供的信息中包含其他第三方的个人信息，在提供这些信息之前，您需确保已获得第三方的合法同意或授权。

(4) You should accurately provide and timely update your account information in accordance with the requirements of laws and regulations or as prompted on the corresponding page, so as to make it true, timely, complete and accurate. If the information you provide is wrong, false, outdated or incomplete, uMetaOpen may send you a notice of inquiry and/or request for correction, and you shall cooperate with the provision or update of relevant information in accordance with the requirements of uMetaOpen. If the information and materials you fill in are untrue, untimely, incomplete or inaccurate, you shall bear the consequences and losses of your inability to use your uMetaOpen account (failure to register successfully, or account being frozen or cancelled ) or your use . If the information you provide contains personal information of other third parties, you need to ensure that you have obtained the legal consent or authorization of the third party before providing such information.

（5）开放云可能会就某些产品或服务的开通，要求您提供更多的身份资料和信息，做进一步的身份认证或资格验证，您的账户只有在通过这些认证和验证之后，方可获得使用相关产品或服务的资格。

(5) uMetaOpen may require you to provide more identity materials and information for the opening of certain products or services, and do further identity authentication or qualification verification. Your account can only be used after passing these authentication and verification. Qualification to use related products or services.

（6）通常情况下，您的开放云账户是您在开放云进行一切活动的唯一身份标识，除非另有约定，每一个开放云账户都可以在开放云独立开展活动。

(6) Under normal circumstances, your uMetaOpen account is the unique identifier of all your activities in the uMetaOpen. Unless otherwise agreed, each uMetaOpen account can independently carry out activities in the uMetaOpen.

3、账户的使用和安全/Account Use and Security

（1）您有权使用您设定的账户登录开放云网站，进而使用开放云提供的其他服务。但您理解并同意：即使您拥有账号亦不代表您可以使用开放云上的所有产品及或服务。为保障账号安全，开放云可能会随时要求您提交更多的信息以完成账号的实名认证，只有完成了账号的实名认证，并按照您与联影的相关协议合同约定，您才可以使用相应的产品及服务。为了完成账号的实名认证，您同意授予开放云可以通过第三方查询和审核您提交的信息。

(1) You have the right to use the account you set to log in to the uMetaOpen website, and then use other services provided by uMetaOpen. However, you understand and agree that even if you have an account , it does not mean that you can use all products and or services on uMetaOpen. In order to ensure the security of your account, uMetaOpen may ask you to submit more information at any time to complete the real-name authentication of your account. You can only use the corresponding products and services after completing the real-name authentication of your account and in accordance with the relevant agreements and contracts between you and Lianying. In order to complete the real-name authentication of your account, you agree to grant uMetaOpen the ability to query and review the information you submit through third parties.

（2）开放云可能会以邮件、站内信、短信或电话方式通知您服务进展情况以及提示您进行下一步的操作，您应当及时登录到开放云账户上查看并操作。

(2) uMetaOpen may notify you of the progress of the service by email, inbox notification, text message or phone call and prompt you to take the next step. You should log in to your uMetaOpen account to view and operate in time.

（3）一个开放云账户仅能对应唯一的法律主体。除非有法律明文规定、司法判决/裁定或者经开放云同意的情况下，您不得以任何方式转让、赠与或让他人继承您的开放云账户。

(3) A uMetaOpen account can only correspond to a single legal entity. Unless expressly provided by law, judicial decision/ruling or with the consent of uMetaOpen, you may not transfer, gift or let others inherit your uMetaOpen account in any way.

（4）您的帐号和密码或验证码是开放云确认您身份的唯一依据，并由您自行设置、变更、保管，您须对您的开放云账户和密码保密。您需确保您在每个上网时段结束时，以正确步骤离开网站。如因您未保管好自己的账号、密码而对自己、其他人、开放云或第三方造成损害的，您将承担全部责任。同时，您应对账户中的所有活动和事件负全责。

(4) Your account number and password or verification code are the only basis for uMetaOpen to confirm your identity, and are set, changed, and kept by you. You must keep your uMetaOpen account and password confidential. You need to ensure that you leave the website in the correct steps at the end of each online session. You will be fully responsible for any damage caused to yourself, others, uMetaOpen or third parties due to your failure to maintain your account number and password. At the same time, you are fully responsible for all activities and events in your account.

（5）如发现他人未经授权使用您的开放云账户和密码，您应立即通知开放云；开放云将协助您冻结账户、更改密码或进行其他安全设置；您理解并同意开放云对您的请求采取行动需要合理时间，开放云对在采取行动前已经产生的以及由此引发的后果（包括但不限于您的任何损失）不承担任何责任。

(5) If you find that others have used your account and password without authorization, you should immediately notify uMetaOpen; uMetaOpen will assist you in freezing your account, changing your password or making other security settings; You understand and agree that it will take a reasonable time for uMetaOpen to take action on your request, and uMetaOpen will not be responsible for the consequences (including but not limited to any loss to you) that have occurred before taking action.

四、账户的冻结、注销及申诉/Account freezing, cancellation and appeal

1、账户的冻结/Freezing of accounts

您的开放云账户（全部或部分权限或功能）在如下情况下可能被冻结，开放云将通过邮件、站内信、短信或电话等方式通知您：

Your account (all or part of your permissions or functions ) may be frozen under the following circumstances, and uMetaOpen will notify you by email, inbox notification, text message or phone call:

（1）基于开放云或服务运行和交易安全的需要，如您发生或可能发生破坏或试图破坏开放云或开放云关联公司公平交易环境或正常交易秩序的，或任何使用含有开放云或开放云关联公司名称、品牌且对他人有误导嫌疑或任何使用某种中英文(全称或简称)、数字、域名等意图表示或映射与开放云或其关联公司具有某种关联的；

(1) Based on the needs of the operation and transaction security of uMetaOpen or services, if you have or may have destroyed or attempted to destroy the arm's length transaction environment or normal transaction order of uMetaOpen or uMetaOpen affiliates, or any use that contains uMetaOpen or uMetaOpen affiliates The name or brand of the company is suspected of misleading others or any use of certain Chinese and English (full name or abbreviation), numbers, domain names, etc. with the intention of indicating or mapping some association with uMetaOpen or its affiliates;

（2）违反本协议、开放云相关规则、服务说明以及其他服务协议/条款的；

(2) Violating this agreement , relevant rules of uMetaOpenscription and other service agreements/terms;

（3）违反国家法律、法规、政策、法律文书的规定的；

(3) Violating the provisions of national laws, regulations, policies and legal documents;

（4）遭到他人投诉，且对方已经提供了相关证据的，而您未按开放云的要求提供相反证据的；

(4) Complaints have been made by others, and the other party has provided relevant evidence, but you have not provided contrary evidence as required by uMetaOpen;

（5）开放云根据合理分析判断您的账户操作存在异常的；

(5) uMetaOpen determines that your account operation is abnormal based on reasonable analysis;

（6）国家有权机关要求进行冻结的；

(6) The competent state organs request freezing;

（7）开放云合理认为您发生与如上行为性质相同或产生如上类似风险的其他情况的。

(7) uMetaOpen reasonably believes that you have other circumstances of the same nature as the above behavior or that generate similar risks as above.

2、账户的注销/Cancellation of the account

如果出现如上第五条第1款“账户冻结”的情形且开放云合理认为情形严重的，或基于国家有权机关的要求，您的开放云账户（全部或部分权限或功能）将被注销，开放云将通过邮件、站内信、短信或电话等方式通知您。

In the event of " Account Freeze" as described in Article 5 (1) above and uMetaOpen reasonably believes that the situation is serious, or based on the request of the competent state authority, your uMetaOpen account (all or part of the permissions or functions ) will be cancelled , and uMetaOpen will notify you by email, inbox notification, text message or phone call.

3、申诉/The appeal

发生前述账户冻结或注销情况下，您可以通过申诉程序，向开放云申请解除上述冻结或注销的，为了您的账户安全，您应配合如实提供身份证明及相关资料，以及开放云要求的其他信息或文件，以便开放云进行核实。您应充分理解您的申诉并不必然被允许，开放云有权决定是否同意您的申诉请求。如您拒绝如实提供身份证明及相关资料，或未能通过开放云审核，开放云有权长期冻结您的账户。

In the event of the aforementioned account freezing or cancellation , you can apply to uMetaOpen to lift the above freezing or cancellation through the appeal process. For the safety of your account, you should truthfully provide your identity certificate and related information, as well as other information required by uMetaOpens for verification by uMetaOpen. You should fully understand that your appeal is not necessarily allowed, and uMetaOpen has the right to decide whether to agree to your appeal request. If you refuse to truthfully provide your identity certificate and related information, or fail to pass the audit of uMetaOpen, uMetaOpen has the right to freeze your account for a long time.

五、开放云及其服务使用规范/Specifications for the use of uMetaOpen and its services

1、您在使用开放云及其服务前，必须：

1. Before using uMetaOpen and its services, you must:

(1)自行配备使用开放云及服务所需的设备，包括个人电脑、调制解调器及其他必要的设备装置。

(1) Equip yourself with the equipment required to use the uMetaOpen and services, including personal computers, modems and other necessary equipment.

(2)自行承担使用平台及服务所需的相关必要费用，如：电话费用、网络费用等。

(2) bear the necessary expenses related to the use of the platform and services, such as: telephone fees, network fees, etc.

(3)本协议中规定的您的其他责任和义务。

(3) Your other responsibilities and obligations set forth in this Agreement .

2、您了解并同意，开放云有权应有关部门的要求，向其提供您提交给开放云或您在使用开放云及/或服务中储存于开放云服务器中的必要信息。如您涉嫌侵犯他人合法权益，则平台有权在初步判断涉嫌侵权行为存在的情况下，向有关部门提供关于您的前述必要信息。

2. You understand and agree that uMetaOpen has the right to provide the necessary information you submit to uMetaOpen or stored in uMetaOpen as a Service when you use uMetaOpen and/or services at the request of the relevant departments. If you are suspected of infringing on the legitimate rights and interests of others, the platform has the right to provide the relevant departments with the aforementioned necessary information about you under the preliminary judgment of the existence of the alleged infringement.

3、除法律另有规定外，开放云保留自行决定是否提供服务、限制账户权限、编辑或清除网页、服务内容的权利。

3. Unless otherwise provided by law, uMetaOpen reserves the right to decide whether to provide services, restrict account permissions , edit or clear web pages and service content.

4、您在注册、登录或使用开放云及/或服务时应遵守法律法规、社会主义制度、国家利益、公民合法权益、公共秩序、社会道德风尚等，不得利用开放云及其服务存储、发布、传播如下信息和内容：

When registering, logging in or using uMetaOpen and/or services, you shall abide by laws and regulations, the socialist system, national interests, the legitimate rights and interests of citizens, public order, social morality, etc., and shall not use uMetaOpen and its services to store, Publish and disseminate the following information and content:

（1）违反宪法或法律法规规定的信息；

(1) Information that violates the provisions of the Constitution or laws and regulations;

（2）危害国家安全、泄露国家秘密、颠覆国家政权、破坏国家统一的信息；

(2) Information that endangers national security, divulges state secrets, subverts state power, or undermines national unity;

（3）损害国家荣誉和利益的、损害公共利益的信息；

(3) Information that harms national honor and interests or harms public interests;

（4）煽动民族仇恨、民族歧视，破坏民族团结的信息；

(4) Information inciting ethnic hatred, ethnic discrimination and undermining ethnic unity;

（5）散布谣言、侵害他人合法权益、扰乱社会秩序、破坏社会稳定的信息；

(5) Information that spreads rumors, infringes on the legitimate rights and interests of others, disrupts social order, and undermines social stability;

（6）破坏国家宗教政策，宣扬邪教和封建迷信的信息；

(6) Undermining state religious policies and propagating messages of cults and feudal superstitions;

（7）散布淫秽、色情、赌博、暴力、凶杀、恐怖或者教唆犯罪的信息；

(7) Spreading obscenity, pornography, gambling, violence, murder, terror or instigating crime;

（8）含法律、行政法规禁止的其他内容的。

(8) Containing other content prohibited by laws and administrative regulations.

5、您在使用开放云及/或服务时，应当遵守本协议及中国人民共和国法律，不得危害网络安全，不得利用开放云从事侵犯他人名誉、隐私、知识产权或其他合法权益得活动。

5. When using uMetaOpen and/or services, you shall abide by this agreement and the laws of the People's Republic of China, and shall not endanger cyber security , and shall not use uMetaOpen to engage in activities that infringe on the reputation, privacy, intellectual property or other legitimate rights and interests of others.

6、如您违反本条使用规则，开放云有权采取通知限期改正、删除信息、中止或终止您使用开放云及其服务等措施，同时基于合理判断有权冻结或注销您账户部分或全部功能。

6, If you violate the rules of use of this article, uMetaOpen has the right to take notice to correct, delete information, suspend or terminate your use of uMetaOpen and its services and other measures, and based on reasonable judgment has the right to freeze or cancel part of your account or all functions .

六、责任限制/Limitation of Liability

1、如果您通过开放云获取来自第三方的任何产品或服务，该产品/服务的提供商将对其提供的服务向您负责，开放云不参与、不介入您与第三方的任何争议、纠纷，也对此第三方产品/服务不承担任何责任。但开放云可依自行判断并决定是否向您提供开放云可获取的与纠纷相关资料。

1. If you obtain any products or services from a third party through uMetaOpen, the provider of the product/service will be responsible to you for the services provided by it. uMetaOpen does not participate in or intervene in any disputes or disputes between you and the third party., and does not assume any responsibility for this third-party product/service. However, uMetaOpen may judge and decide whether to provide you with dispute-related information available to uMetaOpen at its own discretion.

2、开放云对不可抗力导致的任何损失不承担责任。本协议不可抗力包括：自然灾害、传染病、疫情、罢工、法律法规变更或政府行为、因网络服务特性而特有的原因等，例如基础电信运营商的故障、计算机或互联网技术缺陷、互联网覆盖范围限制、计算机病毒、黑客攻击等因素，以及开放云不能预见、不能避免并不能克服的其他客观情况。

2. uMetaOpen is not responsible for any loss caused by force majeure. This agreement includes force majeure: natural disasters, infectious diseases, epidemics, strikes, changes in laws and regulations or government actions, reasons unique to the characteristics of network services, etc., such as failures of basic telecom operators, computer or Internet technical defects, Internet coverage restrictions, computer viruses , hacker attacks and other factors, as well as other objective situations that uMetaOpen cannot foresee, avoid and overcome.

3、在适用法律许可的范围内，开放云不对与本协议有关或由本协议引起的任何间接的、惩罚性的、特殊的、派生的损失承担赔偿责任。

3. To the extent permitted by applicable law, uMetaOpen shall not be liable for any indirect, punitive, special or derived losses related to or caused by this Agreement .

4、您了解并同意，您应承担因您使用开放云及其服务、违反本协议或在您的账户下采取的任何行动而导致的任何第三方索赔。如果由此引起开放云及其关联公司、员工、客户和合作伙伴被第三方索赔的，您应负责处理，并赔偿开放云及其关联公司由此遭受的全部损失和责任。

4. You understand and agree that you shall be responsible for any third-party claims arising from your use of uMetaOpen and its services, breach of this Agreement or any actions taken under your account . If uMetaOpen and its affiliates, employees, customers and partners are claimed by third parties as a result, you shall be responsible for handling and indemnifying uMetaOpen and its affiliates for all losses and liabilities suffered thereby.

七、服务中止、中断或终止/Service Suspension , Interruption or Termination

开放云根据自身商业决策等原因可能会选择随时变更、中断或终止部分或全部的服务。如该等情况发生，开放云会采取公告的形式通知您。经国家行政机关或司法机关的生效法律文书确认您存在违法或侵权行为，或者开放云依据自身的判断，认为您的行为涉嫌违反本协议的约定或涉嫌违反法律法规规定的，则开放云有权中止、中断或终止向您提供服务，且无须为此向您或任何第三方承担责任。

uMetaOpen may choose to change, interrupt or terminate some or all of the services at any time according to its own business decisions and other reasons. If such a situation occurs, uMetaOpen will notify you in the form of an announcement . If it is confirmed by the effective legal documents of the national administrative organ or judicial organ that you have violated the law or infringed the law, or if uMetaOpen believes that your behavior is suspected of violating the provisions of this agreement or is suspected of violating the provisions of laws and regulations, uMetaOpen shall have the right to suspend , interrupt or terminate the provision of services to you, and shall not be liable to you or any third party for this.

八、知识产权/Intellectual property rights

1、开放云上所有内容，包括但不限于文字、软件、声音、图片、录像、图表、网站架构、网站画面的安排、网页设计及其他信息均由开放云或其他权利人依法拥有其知识产权，包括但不限于商标、专利权、著作权、商业秘密等。非经开放云书面同意，您不得擅自使用、修改、全部或部分付指、公开传播、改变、散布、发行或公开发表、转载、引用、链接、抓取或以其他形式使用开放云程序或内容。如有违反，您同意承担由此给开放云或其他权利人造成的一切损失。

1. All content on uMetaOpen, including but not limited to text, software, sound, pictures, videos, diagrams, website architecture , website screen arrangement, web design and other information are owned by uMetaOpen or other rights holders according to law. Intellectual property rights, including but not limited to trademarks, patents, copyrights, trade secrets, etc. Without the written consent of uMetaOpen, you may not use, modify, pay for, publicly disseminate, change, distribute, publish or publicly publish, reprint, quote, link, crawl or otherwise use uMetaOpen programs or content without authorization. In case of violation, you agree to bear all losses caused by this to uMetaOpen or other rights holders.

2、您应尊重第三方的知识产权和其他合法权利/权益，并保证在发生侵犯前述权益的违法事件时，保护开放云及其雇员、股东、合作伙伴等免于因该等事件受到影响或损失，开放云保留在您侵犯第三方的合法权利/权益时终止向您提供服务并不退还任何款项的权利。

2, you should respect the intellectual property rights and other legal rights/interests of third parties, and ensure that in the event of violations of the aforementioned rights and interests, the protection of uMetaOpen and its employees, shareowners, partners, etc. from being affected by such events or loss, uMetaOpen reserves the right to terminate the provision of services to you and not refund any money when you infringe the legal rights/interests of third parties .

九、隐私政策/Privacy Policy

您的信任对开放云非常重要，开放云深知用户信息安全的重要性，开放云将按照法律法规要求，采取安全保护措施，保护您的用户信息安全可控。具体详见《隐私政策》。

Your trust is very important to uMetaOpen. uMetaOpen is well aware of the importance of user information security. uMetaOpen will take security protection measures in accordance with laws and regulations to protect your user information from being safe and controllable. For details, please refer to the "Privacy Policy".

十、适用法律及管辖/Applicable Law and Jurisdiction

1、本协议适用中华人民共和国之法律（台湾、香港、澳门法律除外）。如本协议之任何一部分与中华人民共和国法律相抵触，则该部分条款应按有关法律规定进行修改或重新解释，部分条款之无效或重新解释不影响其它条款之法律效力。

1. This Agreement shall be governed by the laws of the People's Republic of China (except the laws of Taiwan, Hong Kong and Macau). If any part of this Agreement conflicts with the laws of the People's Republic of China, the terms of this part shall be modified or reinterpreted in accordance with the relevant laws and regulations . The invalidity or reinterpretation of some terms shall not affect the legal effect of other terms.

2、您和开放云一致同意凡因本协议所产生的纠纷双方应协商解决，协商不成任何一方可提交上海市嘉定区人民法院通过诉讼方式解决。

2. You and uMetaOpen agree that all disputes arising from this agreement shall be resolved through negotiation. If the negotiation fails, either party may submit it to the People's Court of Jiading District, Shanghai for settlement through litigation.

十一、其他/Other

1、开放云有权在开放云官网（www.uicloud.com）上发布公告、发站内通知或邮件通知等方式将本协议的权利义务全部或者部分转移给开放云的关联公司。

1. uMetaOpen has the right to transfer all or part of the rights and obligations of this agreement to uMetaOpen's affiliated companies by publishing announcements on uMetaOpen's official website (www.uicloud.com), sending in-app notifications or email notifications.

2、本协议任一条款被视为废止、无效或不可执行，该条款应视为可分的且不影响本协议条款及其他条款的有效性及可执行性。

2. Any provision of this Agreement shall be deemed to be annulled, invalid or unenforceable, and such provision shall be deemed severable and shall not affect the validity and Feasibility of the provisions of this Agreement and other provisions.

3、开放云不行使、未能及时行使或未充分形式本协议或者按照法律规定所享有的权利，不应视为放弃该权利，也不影响开放云在将来行使该权利。

3. The failure to exercise, fail to exercise in a timely manner or fully form the rights enjoyed by this agreement or in accordance with the law shall not be deemed a waiver of such rights, nor shall it affect the exercise of such rights by uMetaOpen in the future. 

4、本协议项下之保密条款、知识产权条款、法律适用与管辖条款以及性质上理应存续的其他条款（如对注册信息的真实性保证等），不因本协议或服务的终止而失效。

The confidentiality clauses, intellectual property clauses, applicable law and jurisdiction clauses under this agreement , and other clauses that should survive in nature (such as the guarantee of the authenticity of the registered information, etc.) shall not be invalid due to the termination of this agreement or the service.
